Terms of Service

These Terms of Service ("Terms") govern your use of the Metraxis platform and services operated by Interland Inc. ("we", "us", "our"). By using Metraxis, you agree to these Terms.

1. Service Description

Metraxis is a platform that connects to your advertising, analytics, and e-commerce accounts (Meta Ads, Google Ads, Google Analytics 4, Shopify, and others) to provide performance dashboards, cross-channel analytics, and AI-powered insights. With your authorization, Metraxis can also apply ad-management changes that you confirm.

2. Eligibility

You must be at least 18 years old and able to form a binding contract to use Metraxis.
Metraxis is intended for business use. If you use it on behalf of a company or other organization, you represent that you are authorized to bind that entity to these Terms.

3. Account and Access

You must have authorization to access the accounts you connect to Metraxis.
You are responsible for maintaining the security of your Metraxis account.
You agree not to share access credentials or allow unauthorized use of your account.

4. Platform Connections

When you connect a third-party platform, you authorize Metraxis to access your data on that platform according to the permissions you grant.
You can disconnect any platform at any time, which immediately revokes our access.
We access your data only through official APIs provided by each platform.
Your use of connected platforms remains subject to their own terms of service (including Meta, Google, and Shopify). You are responsible for complying with those terms, and our access may change if a platform changes its terms or APIs.

5. Actions Taken on Your Behalf

For advertising platforms where you grant management permissions, Metraxis can apply changes such as budget adjustments or pausing campaigns based on AI recommendations.
Every such action requires your explicit confirmation before it is applied. No write action is performed automatically or in the background.
You remain responsible for the changes you confirm. Metraxis provides recommendations; the decision to apply them is yours.
You can withdraw management authorization at any time by disconnecting the platform.

6. Data Ownership

Your data remains your property. We do not claim ownership of any data accessed through your connected accounts.
You grant us a limited license to access, process, and display your data solely to provide Metraxis services.
This license terminates when you disconnect a platform or delete your account.
Our handling of personal data is described in our Privacy Policy, which is incorporated into these Terms.

7. Acceptable Use

You agree not to:

Use Metraxis to access accounts you are not authorized to manage.
Attempt to circumvent rate limits or security measures of connected platforms.
Use the platform for any illegal or unauthorized purpose.
Reverse engineer, decompile, or attempt to extract source code from the platform.

8. Fees and Subscription

Metraxis may be offered free of charge or on paid subscription plans. Any applicable fees and billing terms will be clearly presented to you before you incur a charge.
We will not charge you without your prior consent. If we introduce paid plans, you may choose whether to subscribe; continued use of free features does not obligate you to pay.
Fees, if any, are non-refundable except where required by law or expressly stated at the time of purchase.

9. Service Availability

We aim to provide reliable service but do not guarantee 100% uptime.
Data availability depends on third-party platform APIs, which may experience outages beyond our control.
We may modify or discontinue features with reasonable notice.

10. Disclaimer of Warranties

Metraxis is provided "as is" and "as available", without warranties of any kind, whether express or implied, including any implied warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the service will be uninterrupted or error-free, or that insights and recommendations will produce any particular business result.

11. Limitation of Liability

Metraxis provides analytics and insights for informational purposes. We are not responsible for business decisions made based on data displayed in the platform or actions you confirm.
We are not liable for data accuracy issues originating from third-party platform APIs.
To the maximum extent permitted by law, we are not liable for indirect, incidental, special, or consequential damages, and our total liability is limited to the fees you have paid for the service in the preceding 12 months (or USD 100 if you have paid nothing).

12. Indemnification

You agree to indemnify and hold harmless Interland Inc. and its officers, employees, and agents from any claims, damages, or expenses arising out of your misuse of the service, your violation of these Terms, your violation of any third-party platform's terms, or your connection of accounts you are not authorized to access.

13. Termination

You may stop using Metraxis at any time by disconnecting all platforms and deleting your account.
We may suspend or terminate access for violation of these Terms.
Upon termination, we will delete your stored tokens and cease accessing your data.

14. Changes

We may update these Terms from time to time. Continued use after changes constitutes acceptance. We will notify you of material changes.

15. Governing Law & Disputes

These Terms are governed by the laws of the State of California, United States, without regard to its conflict-of-laws rules. You agree that the state and federal courts located in California will have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the service, and you consent to personal jurisdiction there.
